Platform Agreement

Terms of Service

Last updated: October 16, 2026 · Governs use of Merzenta multi-vendor marketplace software and related services.

1. Acceptance of Terms

By accessing merzenta.in, submitting an architecture consultation request, or installing Merzenta marketplace connectors on your Shopify or Shopify Plus store, you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company or legal entity, you represent that you have the authority to bind such entity.

2. Description of Platform Services

Merzenta provides proprietary multi-vendor orchestration software designed to integrate with Shopify and Shopify Plus. Services include white-labeled seller portals, catalog approval queues, automated split-order routing, and Stripe Connect escrow settlement automation (“Services”).

All customer-facing checkouts occur exclusively on your native Shopify store. Merzenta operates as backend infrastructure and does not act as a payment gateway, banking institution, or direct seller of consumer goods.

3. Payment Processing & Stripe Connect Escrow

Automated payout services are enabled via Stripe Connect. By enabling automated vendor payouts, merchants and vendors agree to be bound by the Stripe Connected Account Agreement. Merzenta facilitates instruction routing according to your agreed commission rules; actual fund custody and electronic fund transfers are executed by Stripe and regulated financial partners.

4. Merchant Responsibilities

Merchants using Merzenta are solely responsible for:

  • Vetting, onboarding, and approving independent third-party vendors on their marketplace.
  • Ensuring products listed by vendors comply with applicable consumer protection laws, intellectual property rights, and prohibited item lists.
  • Compliance with applicable sales tax, VAT, and marketplace facilitator tax laws in applicable jurisdictions.
  • Maintaining their active Shopify subscription in good standing.

5. Subscription, Pricing & Cancellation

Platform subscriptions (Launch, Growth, Enterprise) are billed on a recurring monthly or annual basis as specified in your agreement. You may cancel your subscription at any time without penalty prior to the next billing cycle. Fees paid are non-refundable for partial months of service.

6. Intellectual Property & Trademarks

Merzenta Technologies Inc. retains all right, title, and interest in and to the platform, code, algorithms, and documentation. You retain all ownership rights in your store data, vendor catalogs, and customer records.

Disclaimer: Merzenta is an independent multi-vendor commerce platform built for Shopify merchants. Shopify and Shopify Plus are registered trademarks of Shopify Inc. Merzenta is not affiliated with, endorsed by, or sponsored by Shopify Inc.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Merzenta Technologies Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business goodwill arising from platform downtime or third-party vendor fulfillment failures.
